Say I have two NationStates, but I don't want one of them any more, and a friend wants it. I give it away to him, he changes the email to his own address and makes up his own unknown password , and registers to the United Nations: will the game ban both nations? (The reason why I asked this was because I'm curious and it just came to mind.)

If you give away one of your nations to another player and that player commits a rules violation, it reflects upon you.
As far as the UN goes, if he takes the nation and joins the U.N. with it, he can NOT share your computer and you can't share his and log on to both nations from the same computer. They'll be treated as U.N. multis and at least booted from the U.N. if not deleted outright.

Yes, you can give your nation away. If the person who has it wants to join the UN, they'll have to use a different computer to log on to it though.
