Greetings, space-faring nations of the world! This is information central for the Provisional Board. Here, we will implement the UNSC resolution by creating the Board of Directors.
This Topic and related Polls are brought to you by the Region of Texas. Texas takes great pride in drafting and endorsing the UNSC resolution. Now that it has been passed, we believe we have a responsibility to assist the world in the implementation of this ground-breaking, or should we say space-breaking, resolution.
First, let’s review the resolution language which creates the Provisional Board.
“A Provisional Board of Directors (“Provisional Board”) shall be composed of a representative from each nation participating in the U.N.S.C. immediately following the passage of this resolution. The Provisional Board will then proceed to elect a permanent Board of Directors (“Board”). No sale of stock shall occur before the seating of the Board.”
This article can be accomplished through the use of NS Forum Polls, as described below. As the resolution is written, each nation who wishes to participate will have one representative and one vote.
When all is said and done, the Board will be handed the password to the brand new Consortium Headquarters, in the region of UN Space Consortium! From that point forward, the Board of Directors will be in control of this great venture.
The first order of business is to determine the size of the board and the length of the terms of the directors. It is not our intention to dictate to the Provisional Board the criteria for each of these Polls, but we have to start somewhere and feel the choices listed are reasonable. We believe the resolution of each of these questions is authorized by the proposal as written. Once the Board is in place, they will serve at the pleasure of the stockholders, and can tweak these provisions, if they feel the need, as they draft the Articles of Incorporation.
A brief discussion of each of the questions before the Provisional Board will start each topic. The poll questions are:
1. How many directors should be on the Board of Directors?
2. How long should the terms of the board members be?
These first polls will be open for 7 days, starting Monday, March 1 through Sunday, March 7. At that time, the votes will be recorded and the results posted.
Concurrently with the polls detailed above, nominations will be opened for the seats on the Board. The nomination process will be for the same 7 days, through Sunday, March 7. Any nation may be nominated for a seat, but a nation may only submit one nomination.
Elections for the available seats, as decided by “UNSC Poll 1: How many Directors?” will commence on Tuesday, March 9 and run through Monday, March 15. The nominees will be listed randomly. Due to the nature of the Forum polls, nations may only cast 1 vote per nominee in each poll. The nominees with the highest number of votes will be elected to fill the available seats, with the highest vote getter being the chairman. In the event that the 2 high vote getters are tied, a run-off election will be scheduled.
NOTICE: Problems have been reported with the Poll mechanics when a large number of Options are listed. If this should occur, we will work with the Board Administration to resolve the problem, or rework how the Polls themselves are done. Any Forum problems may delay the proceedings of the Provisional Board. We will, of course, attempt to resolve the problem(s) as quickly as possible.
At the end of this process, the UNSC will have elected a Board of Directors and its Chairman. The Chairman of the Board and the Directors will be given the password for the UN Space Consortium Regional HQ. From that point forward, the Board will be in charge.
